Terms and conditions:

For all clients, acceptance of proposal means acceptance of terms and conditions.

BILLING PHASES – (For all clients) Billings will be in phases, based upon a 15 day billing cycle from initiation of project and/or completion of project milestones. If any in-progress payments are not received within 15 days of billing, your project will be placed on hold and work will not resume until payment is received. A final billing will occur at the completion of the project. Unpaid balances after thirty (30) days shall be levied a 10% Late Payment Fee and accrue interest at 1.5% per month until paid in full.

For new clients only
An initial payment of 50% of the estimate will be billed prior, and payment must be received before the project is started.

For recurring clients only
A payment will be billed upon the completion of the creative stage or the close of the first billing cycle.

Billing in several phases permits CMS or client to adjust for such revisions/or halt work before completion if a project is postponed or canceled. A cancellation fee will be assessed. The cancellation fee will be 1/2 of the estimate or $65/hr for work performed, whichever is greater.

Invoice will reflect the actual time and costs incurred. Any work outside the scope of work described in the proposal will be preceded with a Work Change Order estimate. The Work Change Order estimate must be approved prior to the beginning of the work.

OUT-OF-POCKET EXPENSES – Fees for professional services do not include outside purchases such as, but not limited to, printing, photography, color printouts or courier service. Expenses are itemized on each invoice. Any expense greater than $250 will need a 50% deposit for order to be placed.

OVERTIME & RUSH FEES – Estimates are based on a reasonable time schedule, and may be revised to take into consideration your “Priority Scheduling” requests requiring overtime and weekends. Knowledge of your deadlines is essential to provide an accurate estimate.

Rush fees will be incurred at CMS discretion but will need to meet one of these criteria:

  • Print deadline is within ten (10) business days for offset printing, three (3) business days for digital printing (Print schedule begins at the time of client approval of all proofs).
  • Requires CMS staff to work overtime.
  • Requires CMS staff to work at times other than normal business hours (Normal hours are M-F 8:30 am to 5:30 pm).

NATURE OF COPY – Client agrees to exercise due diligence in its direction to us regarding preparation of materials and must be able to substantiate all claims and representations. You are responsible for all trademark, service mark, copyright and patent infringement clearances.

PROPERTY AND SUPPLIER’S PERFORMANCE – CMS will take all reasonable precautions to safeguard the property you entrust to us. In the absence of negligence on our part, however, we are not responsible for loss, destruction or damage or unauthorized use by others of such property. We will use our best efforts to ensure quality and timely delivery of all printed materials. Although we may use our best efforts to guard against any loss to you through the failure of our vendors, media, or others to perform in accordance with their commitments, CMS is not responsible for failure on their part.

If you select your own vendors, other than those recommended by us, you may request that we coordinate their work. If at all possible, we will attempt to do so, but we cannot in anyway be held responsible for quality, price, performance or delivery.

TERMINATION – The terms of this agreement will continue for work in progress until terminated by either of us upon thirty (30) days written notice. If you should direct us at any time to cancel, terminate or “put on hold” any previously authorized purchase, we will promptly do so, provided you hold us harmless for any cost incurred as a result.

Upon termination of this agreement, CMS will transfer to you all your property and materials in our control and for which you have paid. Client will indemnify and hold CMS harmless for any loss or expense (including attorney ‘s fees), and agree to defend CMS in any actual suit, claim or action arising in any way from our working relationship. This includes, but is not limited to assertions made against client and any of its products and services arising from the publication of materials that we prepare and you approve before publication.
